Issues Relating to Business Formation

If you require assistance in forming your corporate entity, we can help you to properly form the appropriate legal entity so that your interests are best protected.  We are also happy to work with your CPA to further analyze your selection of a corporate entity from a tax perspective.  If you have companion immigration issues related to corporate formation, we are also happy to collaborate with your immigration counsel to ensure that all immigration concerns are taken into consideration with your corporate entity.

 

Contract Drafting & Review

When you enter into a contract with an employee or independent contractor, it is very important that you have a contract drafted that best protects your legal interests and your proprietary information.  Do you have a non-compete provision in your independent contractor agreement?

Do you have a confidentiality provision in your independent contractor agreement?  If you are leasing a commercial space, have you had your commercial lease reviewed by counsel to confirm that your interests are protected?  Whether our firm is drafting the agreement or not, it is extremely important to have any contract that your business enters into reviewed by a lawyer before you sign on the dotted line.  When you sign a contract with a vendor (such as your ink and toner, IT or printer vendor to name a few) you are committing yourself legally to certain obligations and it is important to have any contract that your business signs reviewed by an attorney.  We can review your vendor contracts and ensure that there are no “red flags” that lock you into liability in the event that you become dissatisfied with the services of the vendor.

 

Once you execute the contract, you are committed and all of your future rights and responsibilities with respect to that contractual relationship will directly flow from how the contract is worded.  It is truly essential that you draft and execute contracts that ensure the following:

 

(1)     That the rights and responsibilities of the parties to the contract are clearly outlined

(2)     That the term of the contract or the length of the agreement is clearly defined

(3)     That the jurisdiction of the contract is defined so it is clear where a claim needs to be brought in the event of an alleged breach

(4)     That mediation is set forth as a requirement prior to litigation being initiated by either party

(5)     That you clearly understand your ability to exist the contract in the event that you become dissatisfied with the relationship
